Adding a New Fund

Step-by-step guide to creating a new fund on the Navys Transfer Platform, including fund details, vehicle structure, document templates, and LP data.

Accessing the Create New Fund Page

Only GP Admin Users who have a subscription to Navys and belong to an Investment Firm organisation can create a new fund.

Users belonging to Law Firms, or Administrator Firms do not have access to fund features.

From the Funds page in the left sidebar, click + Add New Fund in the top-right corner.

Note: The + Add New Fund button is only visible to users with the Admin role. If you have a standard User role, you will not see this button.

Create New Fund Workflow

Creating a new fund consists of three stages, which appear as 3 tabs.

  1. Fund Information

  2. Fund Structure

  3. Limited Partner & Data Review

1. Fund Information

Enter the core details about your fund. The required fields are marked with an asterisk (*):

  • Fund Name*: Enter a name for your fund. This must be unique within your organization. If a duplicate name is entered, you will see an inline error: "Fund with this name already exists."

  • Fund Size*: Select a currency from the dropdown and enter the total fund size (e.g. USD 500,000,000). Supported currencies include USD, EUR, GBP, JPY, CHF, CAD, AUD, HKD, SGD, CNY, SEK, NOK, AED, SAR, INR, and BRL.

  • Vintage Year: The fund's vintage year (e.g. 2024). Optional.

  • Investment Strategy: Select from the following options. This field is optional.

    • Growth

    • Buyout

    • Venture Capital

    • Real Estate

    • Infrastructure

    • Secondaries

    • Credit

    • Fund of Funds

    • Special Situations

    • Impact

Once the Fund Name and Fund Size are filled in, click Next to proceed to the next step.

2. Fund Structure

In this step, you will define the vehicle structure of your fund. Each vehicle represents a distinct legal entity within the fund. You must add at least one vehicle before creating the fund.

This section has two parts, which must be filled out sequentially. The first part is Vehicle Details. Once all vehicle details are filled in and a vehicle is added (Part 1), you will upload template documents for the vehicle (Part 2).

  • Vehicle Details: Enter the details for each vehicle. All of the following fields are required:

    • Vehicle Name (*): Must be unique within the fund. If a duplicate is detected, you will see: "Vehicle Name already exists within this fund" and the Add button will be disabled.

    • Jurisdiction (*): Select from the dropdown menu, which includes all US states (e.g. Delaware, New York) and international jurisdictions (e.g. Cayman Islands, Luxembourg, United Kingdom).

    • Currency (*): The currency for this vehicle's commitments.

    • Vehicle Total Commitment Amount (*): The total commitment for this vehicle.

    • US Tax Treatment (*): Select either Partnership or Corporation. This is important because it determines whether PTP (Publicly Traded Partnership) analysis will apply to transfers involving this vehicle once this feature becomes available on the platform. Vehicles treated as a Corporation are excluded from PTP analysis.

    Once all required fields are entered, click + Add Vehicle. The vehicle will appear in the grid below the form, and the input fields will clear so you can add additional vehicles. You can add as many vehicles as needed.

  • Document Templates: Once all vehicle details are filled in, the document upload slots will appear. You must provide the following template documents for this Fund (required fields are marked with an asterisk (*):

    • Subscription Agreement Template (*): Upload a Word document (.docx), or select from your organization's precedent templates using the dropdown.

    • Transfer Agreement Template (*): Upload a Word document (.docx), or select from your organization's precedent templates using the dropdown.

    • Tax Certificate Template (optional): Upload a Word document (.docx), or select from your organization's precedent templates using the dropdown.

Note: For each document slot, you can either upload a new file or select a precedent template chosen from a previously uploaded document list.

Once a vehicle is added to the grid, you will be able to edit or remove it using the actions menu (three dots) on the row. Editing will move the vehicle back into the input form for modification.

Once your fund structure is complete, click Next to proceed to the next step.

3. Limited Partner Data & Review

In this step, you will upload your fund's LP register for each vehicle.

Note: You must add at least one vehicle in the Fund Structure tab before this tab becomes active. If no vehicles have been added, you will see a message: "No Fund Vehicles added yet. Please add at least one fund vehicle in the Fund Structure tab before uploading Limited Partner data."

To upload LP data:

  1. Select Vehicle: Choose a vehicle from the dropdown menu. Only vehicles added in the Fund Structure tab will appear here.

  2. Upload LP Register: Upload your LP register file (CSV or Excel format, max 10 MB). The system will display the LP data in a table with the following columns:

    • LP Name

    • Domicile

    • Investing Vehicle

    • Commitment

Once the LP register appears, you can make corrections directly in the table:

  • Inline editing: Click the Edit button in the actions column edit an LP's details.

  • Removing an LP: Click the trash icon on an LP row. A confirmation dialog will appear to ask: "Are you sure you want to remove [LP Name] from the LP register? This action cannot be undone." Confirm to delete the row.

Note: Uploading LP data is optional at this stage. You are also able to create a new fund without uploading the LP register and add this information at a later stage.

Once you have reviewed the LP data, click Create Fund in the bottom-right corner to finalise the fund setup.

Important: Once a fund is created, the Fund Name and Information is locked and cannot be changed. The only changes that are available to make are those to the LP register outlined abovve. If you need to make any other changes you must contact the Navys team at [email protected]

What Happens Once a New Fund is Added

Once you create a new fund:

  • The new fund will appear on your Funds Overview page.

  • You can view the fund's details, vehicle structure, and investor registry from the fund's detail page.

  • You can add additional vehicles to the fund at any time from the Vehicles tab on the fund's detail page.

  • The fund and its vehicles will become available for selection when creating new transfers.
