AI Contract Analysis

AI review of a transfer agreement against your playbook, clause by clause, on the Transfer Agreement page.

Overview

AI Contract Analysis reviews a transfer agreement against your playbook, clause by clause, and shows where the document aligns with your positions and where it does not. It sits on the Transfer Agreement page as its own tab, so you can read the agreement and its analysis side by side.

Accessing AI Contract Analysis

All participants on a transfer can view an analysis for their role. Because playbooks are firm-level, generating an analysis against a playbook requires being part of a firm that has one; any participant can still generate a review without a playbook.

From the Transfer Agreement page, select the AI Analysis tab next to Comments.

Running an Analysis

  1. Open the AI Analysis tab on the Transfer Agreement page.

  2. Select the playbook you want to review against from the playbook picker, then click Generate. The analysis runs against the current version of the transfer agreement for your role on the transfer.

  3. Wait for the review to complete. This usually takes up to a minute while Navys reads and segments the document.

No playbook? Generate without selecting a playbook and Navys reviews the agreement against a standard set of clauses instead, so any party to a transfer can produce a review.

Reading the Results

The analysis is presented in two layers:

  • Summary: a short overview of the whole agreement appears at the top, so you can get the headline before reading the detail.

  • Clause-by-clause review: Navys matches each clause in the agreement to the relevant position in your playbook and returns a rating for every clause and for the document overall. Clauses that have no equivalent in your playbook are surfaced separately, but still evaluated.

Expanding a clause shows:

  • Your playbook's standard position for that clause.

  • The contract language as it appears in the agreement.

  • The commercial impact of the language as drafted.

  • The reasoning behind the rating.

  • A suggested change to bring the clause in line with your preferred position.

From an expanded clause you can act on the insight directly:

  • Comment on the agreement: turn an insight into a comment on the transfer agreement, so the point is raised in the document's comment thread for the other parties to see.

  • Dismiss: dismiss an insight you do not want to action, removing it from the list so you can focus on the clauses that matter.

Add to Playbook

Any clause insight can be sent back into a playbook with Add to Playbook. Navys pre-fills the entry from what it found, standard position, standard language, and reasoning, for you to review and save. If the clause already has an entry, Navys offers to update it rather than create a duplicate.

Note: An analysis reflects the version of the agreement it was run against. If a new version of the transfer agreement is uploaded, re-run the analysis to review the latest draft.
