Due Diligence Questions (Pre-Transfer)

How transferees submit due diligence questions to the GP and manage the Q&A process.

Overview

This step allows the Transferee side to conduct due diligence on the fund by asking questions directly to the GP side.

Each question follows the same Question β†’ Answer β†’ Follow up β†’ Answer loop, and each question card displays:

  • Question status: In Progress or Completed.

  • Question details: Which participant asked the question and the date and time it was submitted.

  • Question text

  • Response box

Accessing This Section

The Due Diligence Questions section is accessible to users on the GP Side (GP, GP Counsel, GP Administrator) and the Transferee Side (Transferee, Transferee Counsel, Transferee Administrator).

Transferor-side users (Transferor, Transferor Counsel, Transferor Administrator) do not have access to this section.

From the Transfer Overview page, click on Due Diligence Questions under Pre-Transfer in the left sidebar

For the Transferee: Managing Due Diligence

To add a due diligence question:

  1. Click Add Question in the top-right corner.

  2. Type your question in the pop-up and click Submit.

Once the GP responds, you can:

  1. Review the response and any attachments provided.

  2. Ask a Follow-up Question if further clarification is needed. The question will remain In Progress until you are satisfied.

  3. Approve the response when satisfied. The question status will change to Completed

For the GP: Responding to Questions

As questions are posted by the Transferee side, they will appear on the Due Diligence Questions page. For each question:

  1. Review the question text.

  2. Type your response in the designated Response box.

  3. Attach any supporting documentation if needed.

  4. Click Submit.

If the Transferee requests further clarification via a follow-up question, it will appear within the same question card below your response.

Completing the Due Diligence Step

The Due Diligence Questions step is marked as Completed only when all individual questions have been approved by the Transferee side, and the step itself is marked as complete. Once completed, this step of the transfer process is locked and no further questions can be added. Participants with access to this step will retain view-only access to the due diligence questions.
